Acceptance: By booking services and/or downloading, accessing, or using the Media, Client agrees to the terms below.
Client Definition: "Client" means the person or entity that placed this Order/Project (agent, brokerage, homeowner, or property manager).
Rights and License (Important): DX Media retains all copyrights and ownership of all delivered photos and video ("Media"). The Media is not a "work made for hire," and no ownership transfers to Client. Client receives a limited, non-exclusive, non-transferable license to use the Media only to market the property(ies) photographed under this Order/Project (as reflected in the Aryeo order details) on either: (1) one active real estate listing controlled by Client (MLS and standard syndication tied to that listing), and/or (2) Client-controlled short-term rental or booking listings for the same property, including Airbnb and VRBO. All rights not expressly granted to Client are reserved by DX Media. DX Media may use the Media for portfolio and marketing purposes and may license the Media to any other party.
Edits/Alterations: Client may not edit, retouch, apply filters to, or otherwise alter the Media, except for basic cropping and resizing for layout purposes. Virtual staging is permitted only if it is clearly presented as virtually staged and does not misrepresent permanent features.
Real Estate Re-Listing Rule: If a listing that used the Media successfully closes, any later use of the Media for a new listing of the same property requires a new license. If the listing is withdrawn, canceled, or expires without closing, Client may re-list the same property and continue using the Media at no additional licensing charge, provided Client remains the controlling listing agent or brokerage. If the controlling listing agent or brokerage changes, a new license is required regardless of prior status.
Paid Re-List License: Any new license required under this section is a paid license and will be quoted and invoiced by DX Media at the time of reuse.
No Third-Party Use: Client may not sell, transfer, redistribute, or provide the Media to any third party without written permission from DX Media.
Homeowner Sharing (No Rights Granted): Client may share the Media with the property owner solely for review and approval purposes. No license or rights are granted to the property owner by this sharing, and the property owner may not use, post, publish, or distribute the Media, including uploading it to any website or platform, without a separate written license from DX Media.
Third-Party Use: Stagers, homeowners, new listing agents, buyers, buyer's agents, "just sold" posts, and other vendors or parties are not covered under Client's license. Please do not forward the download link or files. Any third-party use requires a separate, paid license from DX Media, quoted and invoiced at the time of use.
Archive: Client is responsible for downloading and archiving the Media upon delivery.
Unauthorized Use: Unauthorized use is subject to additional licensing fees and/or removal requests.
Indemnity: Client is responsible for all use and posting of the Media and agrees to indemnify and hold harmless DX Media from any claims, damages, liabilities, costs, and expenses, including reasonable attorney's fees, arising from Client's unauthorized use of the Media or breach of these terms.
